The admission document listed in this section of the website (the "Admission Document") is an admission document on the Professional segment of the ExtraMOT market operated by Borsa Italiana SpA, of the bonds issued by Proma SpA. and has been prepared pursuant to the ExtraMOT Market Rules (the "ExtraMOT Rules").

The bonds are reserved exclusively for subscription by subjects that fall within the category of "professional investors" as defined in accordance with art. 100 of Legislative Decree 58/1998 (the "Consolidated Law on Finance") and the implementing rules contained in the combined provisions of article 34-ter, paragraph 1, letter (b) of the Issuers' Regulation adopted with CONSOB resolution no. 11971/1999 (the "Issuers Regulation") and Article 26, paragraph 1, letter (d) of the Intermediaries Regulation adopted by CONSOB resolution no. 16190/2007, residing in States included in the list referred to in the ministerial decree issued pursuant to art. 168-bis of the Presidential Decree n. 917/86 (the "Professional Investors"). In the event of subsequent circulation, the transfer of the Bonds to persons other than Professional Investors is not permitted.

The Admission Document, the transaction described in the same, the other information and documents contained in this section of the website do not constitute a public offer of financial instruments or an admission of financial instruments in a regulated market as defined in the Text Unico della Finanza, by the Issuer Regulations and by the equivalent provisions of law and regulations applicable in any other foreign country.
